The United Arab Emirates represents one of the world's most competitive, dynamic, and forward-thinking economies. However, navigating the multiple jurisdictions and economic departments requires a strategic understanding of the local landscape.

When structuring your business, you must select between three distinct jurisdictions: Mainland, Free Zone, and Offshore. The choice directly impacts your operational scope, tax liabilities, physical office requirements, and ability to trade within the local market.

1. UAE Mainland Setup: Maximum Operational Freedom

Mainland companies are registered onshore directly under the Department of Economic Development (DED) of the respective emirate. The primary advantage of a mainland setup is the freedom to trade across the entire domestic UAE market, within all free zones, and internationally. Additionally, mainland companies are legally permitted to bid on public sector tenders and execute government contracts, which is a major revenue stream in the UAE.

Historically, mainland companies required a UAE national partner who held 51% of the shares. Today, amendments to the UAE Commercial Companies Law permit 100% foreign ownership across more than 3,000 commercial and industrial activities.

2. UAE Free Zones: Tax Efficiency & Focus Clusters

Free Zones are designated economic zones that operate under their own independent regulatory authorities. These zones are designed to support specific industry sectors, such as media (Twofour54 in Abu Dhabi), financial services (DIFC in Dubai, ADGM in Abu Dhabi), commodities trading (DMCC in Dubai), or sustainable energy (Masdar City).

Free zones provide 100% foreign ownership, 100% import/export duty exemptions, and streamlined remote incorporation. However, free zone companies cannot trade directly within the UAE mainland. They can only conduct business inside their zone, internationally, or within the mainland by establishing a mainland branch or using a local commercial distributor.

3. UAE Offshore Companies: Holding & Asset Protection

Offshore companies are non-resident corporate registries, primarily managed under JAFZA Offshore or RAK ICC. These companies do not receive physical office spaces and do not grant residency visas. Instead, they act as corporate holding vehicles, shielding international assets, managing intellectual property, and conducting cross-border trade outside the borders of the UAE.

Understanding the UAE Corporate Tax Framework

Effective June 1, 2023, the UAE introduced a federal corporate tax of 9% on taxable business profits exceeding AED 375,000. Startups and small businesses earning below this threshold pay 0% corporate tax.

For Free Zone entities, corporate tax remains 0% on qualifying income, provided they maintain the status of a Qualifying Free Zone Person (QFZP). This requires preparing audited financial statements and maintaining adequate commercial substance within their respective free zone.
